Mid-market sell side mandates to strategic buyers including those centering around deep intellectual property. Collectively we have completed more than 500 transactions.

Kirchner Group is known for bringing a strong operational perspective to support its senior only M&A team. In addition to completing more than 500 transactions as agents, advisors, and/or principals, our professionals leverage our operational strengths to identify and articulate value propositions to strategic buyers.

We have successfully completed transactions in 30 different countries across six continents by leveraging our corporate offices across the United States and Canada as well as our contacts worldwide. Our niche is mid-market sell side mandates to strategic buyers including those centering around deep intellectual property.

Our model pairs one or more of our resident domain experts with an M&A professional for each engagement. This allows for unprecedented insight into the industry as well as streamlined direct contact with strategic buyers which results in premium valuations.

Our approach to M&A is very hands-on. We strive to tailor the value proposition in an M&A to each individual buyer rather than promoting a typical “one size fits all” approach. This is a heavy-lifting approach that we have been able to conduct effectively for our clients because of our senior-only transaction team. That senior team you meet day one will be the team you work with through the entire process and that ultimately sells your company. We focus on our core expertise – maximizing value for our clients seeking to be acquired by strategic buyers.

Kirchner Group assists buy-side and sell-side clients in the execution of mergers, acquisitions, and divestitures. Leveraging the operational, transactional, international, and domain experience of our team, we can provide the services of a large-scale firm while maintaining the hands on approach of a boutique firm.

Advisory & Assessments

Some businessmen just have a knack for success: they know how to create it, grow it, manage it and even snatch it back from the brink of failure.

Bob ScullyPBS Interviewer

We bring an in the trenches perspective to provide a complete review from independent, senior operators. We have assisted hundreds of companies in reviewing their operations by providing objective insight and go forward options.

We have refined our diagnostic/assessment process over the years to provide an objective and comprehensive view into our clients’ strengths and weaknesses as well as provide go-forward options. The identification and analysis of the merits of each go-forward option is a key differentiator for us from consultants who may purport to provide operational assessment-like services. This analysis allows stakeholders to meet their fiduciary responsibility and to make well-informed decisions about the Company’s future strategic direction.

We also apply our deep domain and process expertise to provide unparalleled insight, support and advisory in various situations. We have advised numerous companies as well as some of the largest PE and VC firms including advising lead investor on 2 of the largest ever Biotech series A financings and the largest PE financing of an Agtech company.

Kirchner Group’s deep domain and process expertise enables us to provide unparalleled insight, support and service during every advisory engagement. In contrast to traditional consultants who simply produce reports, we not only perform comprehensive analysis and provide strategic recommendations, but also have the ability to roll up our sleeves and assist in execution.

Our professionals have extensive backgrounds running private and public companies and bring deep domain expertise to the table. We are experts at differentiating between perception and reality. Typically, the main decision facing investors and BOD members in complex situations is not only (a) what to do next, but also (b) how to do it. The Kirchner Group plays a key role in illuminating these options and can step in to help execute them if appropriate. Also unlike the approach typically taken by consultants, we don’t issue a report just based on what management told us — we apply our own operational experience and in-the-trenches perspective to separate the “wheat from the chaff”.

Our team consists of senior professionals who have been in your position before and understand how to dig deep, navigate all the angles and provide actual tangible value. Our advisory services and execution assistance is utilized in some cases as part of the preparatory work for a liquidity event.

We provide a variety of advisory services to individual companies as well as portfolios including:

  • independent third party assessment
  • company/technology positioning
  • transaction due diligence
  • company formation and structure
  • market entry and positioning
  • key partnerships and licensing agreements
  • global commercialization strategies

We also provide numerous other tailored advisory services. Each engagement is customized to the needs of the specific situation; thus, only services that are needed are provided.

Portfolio Assessments

“I was very impressed by Kirchner Group’s unique approach to portfolio assessment. Their protocols resulted in additional insights and opportunities not apparent in audited financial statement.”

We have developed proprietary processes and tools from an operational perspective for evaluation of portfolios, value creation in portfolios, and reporting on portfolios and companies with a focus on complete portfolio transparency and understanding.

A perspective, informed by a depth of operational experience, that is independent, unbiased and fact-based and that carries actionable recommendations.

Working with the client, we develop a list of outcomes from the assessment surrounding portfolio risk, company execution and portfolio categorization.  We have developed models for developing deliverables such as ‘Company Report Cards’, ‘Portfolio Dashboards’ and ‘Progress Against fund Expectations’.
