Team Members (alphabetical order) Agrawal, Andy ProfessionalsW.B. "Bud" Kirchner has 38 years of entrepreneurial, operational, transactional and international experience with numerous private equity and debt investment scenarios. He is Founder of Kirchner Private Capital Group, composed of Kirchner Investment Management Corporation, provider of private equity advisory and investment management services; Kirchner Transition Management, Inc., focused on reorganizations and workouts, and Kirchner and Company, Inc. an operationally-oriented boutique investment bank engaged with small and mid-cap companies. Bud has started and successfully exited companies in industries as diverse as financial services, agribusiness, airline and consulting, and has conducted corporate transactions in 30 countries. He has been a principal or agent in over 150 successful financings, mergers, acquisitions, divestitures, workouts, and turnarounds. Bud has served as an officer and director of many public and private companies and is an advisor and confidante to a number of institutions, portfolio managers, and high net worth individuals. In 1994 Bud was named Ernst & Young, et. al, Entrepreneur of the Year in for recognition of the turnaround of a bankrupt company to a profitable industry leader. This company under Bud's management went on to receive numerous distinctions including ranking fourth overall in a nationwide survey of all industries for profit gain over a five-year period as well as ranking in the "top 20 wealth creation companies" in a survey conducted by the Corporate Renaissance Group of all Canadian public companies. During this same timeframe over fifty direct competitors failed. The next year Bud was named Entrepreneur of the Year by the Quality Institute of Canada in recognition of transforming a domestic business into an internationally-competitive company. This included a citation for: "entrepreneurial vision, leadership, commitment and innovation." He is the only individual awarded both of these senior awards for entrepreneurship. Bud is the designer and architect of several proprietary business method models including "Crystallizing Value In Intellectual Property" as well as other models related to enhancing the value in individual companies and portfolios. He is active in a variety of philanthropic activities and co-founder of the Christopher Douglas Hidden Angel Foundation, a charitable organization devoted to enriching the lives of individuals with cognitive, emotional, and/or physical impairments through programs centered on the use of multi-sensory environments. Andy Agrawal has 20 years of operational and transaction experience in both large and small companies. Andy was formerly the number two officer at one of the nation's largest providers of contract therapy services to the healthcare industry and a division of a $2B public healthcare company. He led a number of very successful initiatives (including the doubling of sales in six months) through a tumultuous course of three public company mergers and the consolidation and reorganization of three operating divisions into one. Andy has also been an active entrepreneur founding two start-ups and providing interim management and advisory services to several early and mid-stage high growth companies in Austin, TX, Central Pennsylvania, and Charlotte, NC. Andy co-founded an incubator that invested in several high profile healthcare information technology companies and provided them with ongoing management and strategic direction. He has also provided leadership and strategic advice to high growth companies in numerous industries. For example, Andy closed five strategic partnership deals in a sixty-day period for a XML infrastructure company focused on accelerating the adoption of ecommerce by small business. Andy holds a BA, cum laude, from Vassar College and a JD, magna cum laude, from The Boston University School of Law. He is the author of "Forging a Path to Death and Dignity", published in the Boston University School of Law's Law Review, and is active in a number of organizations and advisory boards focused on mentoring and advising high growth companies, including the Commercialization Committee for the University of North Carolina at Charlotte (Technology Transfer). Les has 25 years of operational, private equity, venture capital, and fund management experience. He has served on the boards of private and public companies, has held management operating roles and turnaround assignments, and has worked with companies through the IPO and strategic sale process. Prior to joining Kirchner Private Capital Group, Les was the Chief Operating Officer at GrowthWorks Capital having $750 million under management and venture capital investments in IT, Life Science and Cleantech companies. As Chief Operating Officer, Les was responsible for providing leadership and direction to investment, sales and marketing, government relations and operations teams of GrowthWorks. He was previously Senior Vice President at GrowthWorks responsible for two Ontario based funds totaling $400 million under management. In this role, he also managed the acquisition and consolidation of six venture funds, resulting in a significant investment performance improvement. Les' extensive background includes: CEO of a computer telephony company, including turnaround and subsequent IPO; CEO of a manufacturing company; serving on the boards of several private and public companies; and undertaking interim management roles and turnaround assignments. In addition, Les founded a consulting firm that specialized in small and medium-sized business turnarounds and repositionings. Les has an MBA from Simon Fraser University and a Diploma in Urban Land Economics from the University of British Columbia. Chris has 35 years of experience in large and small companies operating in 8 broad industry sectors, including Aerospace/Defense, Life Sciences, Telecommunications, Transportation and Clean-Tech. His roles in these companies have included several C and VP appointments and his senior management career in high-tech companies has spanned the last 20 years. Holding a Ph.D. in Control Systems from Imperial College, London, UK and a first degree in Electrical Engineering, Chris has built-up considerable experience in a broad range of engineering disciplines, focusing on software development. He is trained in change management and project management and these skills have been put to good use in driving growth in small and mid-cap companies and achieving turnarounds of failing companies and projects. Chris has held the key Corporate Engineering Director role at MacDonald Dettwiler Associates, an information systems company with interests in satellite deployment, space robotics, and information processing, where he was responsible for 500 staff at the Vancouver site and all engineering activities throughout the company. He provided leadership to Visible Genetics Inc, a small molecular diagnostics company, as it went through acquisition by Bayer Inc, and he continued to lead all design, development, manufacture and marketing of the Toronto Molecular Diagnostic Division under Bayer as General Manager/VP Engineering. Chris has also worked with numerous start-up and small companies needing leadership to support growth or reorganization to improve operational efficiency, including Agile Systems Inc., a designer and manufacturer of novel brushless motor drives, operating in the clean-tech sector. Chris has transactional experience, having been through the acquisition process from both viewpoints, representing companies as the acquirer and the acquired during numerous due diligence exercises. Mike Cooke has 35 years of senior officer and transaction experience in both small and large companies, consistently achieving superior operating results. As CEO Mike grew a small wholesale business to become the North American market leader with $1 billion in sales. Previously he became known for consistently increasing returns from numerous smaller businesses, frequently overcoming challenging business circumstances. He has been recognized as President of the Year for a large multi-divisional corporation. Mike is an expert in identifying and developing competitive advantages that improve sales and margins. In a $50 million manufacturing business, he developed product quality reforms leading to $10 million in additional sales. In several manufacturing businesses with sales ranging from $10 million to $40 million and losing money, he created market share growth, improved margins, and double digit returns. His operational focus was instrumental in the refinancing of a bankrupt start-up and the recovery of a pending business break-up, both by driving significant increases in profitability. Mike has led many successful transactions including multi-million dollar acquisitions and divestitures and the development of two large new greenfield businesses for a Canadian corporation. He regularly works with senior management and boards on strategic focus, financial restructuring and operations resulting in improved margins and ROIs. Mike has a B. Comm. from the University of Alberta and an MBA from the University of Western Ontario, Ivey Business School. Sandra Fornes has 20 years experience in operations and transactions, drawn from founding and managing two companies as well as being a senior executive in two international corporations. Sandra additionally has special expertise in industrial and organizational psychology, personnel placement, executive recruitment/selection processes, and career assessment/development. Sandra's primary responsibility in the company is developing and managing the industrial/organizational psychology programs as well as human resource development and selection. She is active in the company's M&A activities, manages the finance and administrative staff, and is responsible for Kirchner and Company's philanthropic activities. Sandra has trained in administering and assessing Myers-Briggs Type Indicators (personality inventory testing), the Strong Interest Inventory (career development assessment) and the Neo-5 (personality traits). She has participated in many seminars and courses that deal with organizational culture, psychological assessments for workplace, work motivation, career development, training and development. Sandra holds undergraduate and Masters degrees in Psychology, as well as a MBA. She is a member of the American Psychological Associations (APA), ASP, and the Society of Industrial and Organizational Psychology (SIOP), a division of the American Psychological Associations. Paul Gardner brings a blend of 12 years general partner and operational experience. Most recently, Paul was an independent consultant providing strategic management, corporate development, and interim-CFO services to private and public companies within the enterprise software, communications equipment, telecommunications services, and consumer products sectors. Previously, Paul was a venture capitalist executing investments and working closely with portfolio companies within the enterprise software and mining services industry. Paul also held operational management roles for an international holding company in Canada and England, working both at the holding company level and within its contract manufacturing subsidiary. Paul holds a Bachelor of Commerce, First Class Honours, from The School of Business at Queen's University, Canada, and an MBA from The Wharton School at the University of Pennsylvania. Barry has 27 years of investment and operational experience within industry, venture capital and private equity. He has served on the boards of several private and public companies, undertaken interim management roles and turnaround assignments, and worked with companies through the IPO and strategic sale process. Prior to joining Kirchner Private Capital Group, Barry was a Partner at Ventures West, one of Canada's largest venture capital firms. For over 12 years, Barry worked closely with entrepreneurs while making early stage investments in enterprise software, IT services, communications, cleantech and medical device companies. As an operator, Barry served as President in two turnaround situations. At an automotive after-market parts company, Barry grew the company five-fold through a combination of organic growth and strategic acquisitions. Barry also served as President of a publicly-traded industrial holding company where he undertook the turnaround of two divisions and oversaw the strategic sale of another. Barry also was a Partner in two private equity firms specializing in expansion stage financing and leveraged buyouts. During his tenure he implemented the turnaround of two portfolio companies in the manufacturing sector and participated in the buyouts and successful IPOs of a micro brewer and computer hardware manufacturer. Barry has an HBA Business Administration from the University of Western Ontario. He has also served on the Board of the Canadian Venture Capital & Private Equity Association. Don Haliburton is a Chartered Accountant with over 20 years management experience as a CFO, a General Manager and a Manager in the national restructuring group of PriceWaterhouse Coopers. Don has been the CFO for a number of public and private companies including start-ups and international production and distribution companies. Don's experience includes managing ten corporate transactions which helped a TSX listed food production company grow from a British Columbia base with sales of $9 million to a multi-national, integrated operation with sales of $45 million. Don has significant experience with companies involved with production, manufacturing and distribution ranging from start-up to growth mode, including several companies involved with new technologies. While Don's strength's lie in traditional CFO areas, his five years as a General Manager for a North American manufacturing and distribution company helped build his expertise in developing effective infrastructure solutions to operational problems. Don holds a Bachelor of Commerce, cum laude, from St. Mary's University and is a Canadian Chartered Accountant. Don has served on the boards of directors of a number of organizations including Farm Credit Canada, a number of private companies and non-profits such as Ethics in Action and The Potluck Cafe. Leo Kim has 28 years operational and transaction experience in both small and large companies with deep expertise in biotechnology and chemistry. Leo was Chief Technical Officer and Executive Vice President of Research at Mycogen Corporation. He built a patent estate of over 700 patents which led to a valuation of $800M when Dow Chemical purchased Mycogen for $1.2 B. Since 2002, Leo has been CEO of POSCO BioVentures a venture capital company investing in medical devices, scientific instrumentation, nutraceuticals, and biotechnology companies. Leo's experience ranges from setting up pharmaceutical and agricultural biotechnology efforts at Shell Oil Company as well as the young Mycogen Corportation when he started in 1986 with a small staff. Leo was the lead in bringing in numerous, US, Asian, and European relationships totaling over $30 M before the company was sold in 1998. Leo's experience in M&As span two decades beginning with his role when Mycogen acquired several companies, and Mycogen being acquired by Dow Chemical as well as his VC role as several of his portfolio companies were acquired (Emergent Respirotory Products acquired by King Systems, Geneohm acquired by BD), and as a board member on BioArrays (acquired by Immucor). Leo's role in having been on both sides of the table - operations versus investor - give him a perspective useful to companies whether it's an M&A or aiding in specific corporate problems. Leo holds a Ph.D. from the University of Kansas and was a Research Associate at the Massachusetts Institute of Technology (MIT). He has more than 50 patents and publications to his name and is a member of numerous scientific societies, and has served and continues to serve as a board member and observer on the boards of numerous companies. Michael Krueger has 20 years of operational and transactional experience in venture backed high-growth companies where he built world-class teams and led organizations from early stage to IPO. Most recently, he was President and CEO of Jobflash a workforce management company where he was instrumental in a restructuring the company to significantly reduce operating cost, increase recurring revenue, and raise capital (equity and debt) under challenging circumstances. Michael was also responsible for the sale of JobFlash to a public company in the same space. Before JobFlash he was President and CEO of BuildPoint, a leading provider of on-demand software in the commercial construction market. Under his leadership he executed a successful turnaround plan, which included a debt reduction strategy, revised marketing plan, and an OEM partner strategy. Michael was responsible for negotiating the successful sale of the company. Michael has assisted several early stage software companies in developing business and financial plans, creating go-to-market strategies, securing early customers and raising venture capital. As a growth strategy to IPO Michael has participated in several buy-side acquisitions. Early in his career he developed extensive experience in sales management and vendor and strategic partner negotiations where he achieved exponential sales growth that moved two companies from startup to IPO. Michael holds a Bachelor of Science degree in Computer Science from the Arizona State University. He is a volunteer at the Breast Cancer Fund where he received the Strong Voice Award from the California Lieutenant Governor. He is currently active in a variety of community, environmental and leadership programs. Howard Pate has over thirty years of operational experience across a diverse array of corporate assignments in Canada, the U.S.A. and Europe. This has included senior executive positions in strategic planning, re-engineering, finance, marketing, operations, and customer service, and where dramatic performance improvement constituted the baseline. His broad knowledge of these disciplines has helped him to build a fast-paced high performance business transition model which is based on departmental/divisional interdependence. Howard’s background encompasses both public and private enterprises and ranges from global corporate to local entrepreneurial businesses. His change management experiences span both traditional and high technology companies where he has operated in various capacities such as CEO and CRO (Chief Restructuring Officer). This includes consumer goods, food and beverage, high technology equipment manufacturing in the semi-conductor and forensic sciences sectors, packaging, sports wear, light emitting diodes and health products. Amongst these assignments he has worked closely with corporate leaders to prepare their businesses and their management teams for prospective M&A transactions with both strategic partners and investment funds. Post M&A, Howard is an experienced integrator skilled at the operating rigors and personnel sensitivities which must be overcome to assure a successful transition. Prior to joining the Kirchner Private Capital Group, Howard was a co-founder and senior partner of PerformaCorp Inc. This Montreal based private consulting company worked with Boards and management to determine the root causes of underperformance and specialized in corporate performance improvement and turnaround management. Howard holds a B.Sc. in mathematics from Sir George Williams University and an MBA from the Richard Ivey School of Business at the University of Western Ontario. Neil has 25 years of experience, ranging from entrepreneur to corporate executive. He brings a solid and deep background in operations along with extensive experience in mergers and acquisitions and finance. Neil has spent over 20 years in the software and technology industry with roles ranging from Director of Marketing and partner in his own software company to Executive Vice President of a publicly traded company. Prior to joining Kirchner Private Capital Group, Neil was, from early 2000 through 2007 Executive Vice President of Enghouse Systems Limited a TSX listed company where he was responsible for corporate development including mergers and acquisitions as well as integrations and restructurings. Previously he was Corporate Vice President of Mergers & Acquisitions for Geac Computer Corporation, one of Canada's largest public software companies. Geac completed over 40 acquisitions over the years and through this period became one of Canada's most successful software companies in terms of growth, profitability and market capitalization. Neil also spent many years as a partner in a software company in the early 1980's; which he helped build to almost 100 people through organic growth and strategic acquisitions. This company was ultimately sold and he then went on to help create a new Canadian division for one of the largest global technology companies in the world, Fujitsu. He began his career with a multi-billion dollar grocery retailer, eventually becoming Coordinator of Merchandising Revenue for a large division, where he worked with suppliers to negotiate special promotions and incentive programs. This included some of the largest packaged goods companies in the world. Neil studied commerce and finance at the University of Toronto. Wils Theagene has 12 years of business development, investment and transactional experience with both large and small emerging companies. Prior to joining Kirchner Private Capital Group Wils was a manager for the Corporate Strategy, Mergers & Acquisitions Group of Bombardier Inc. During his employment with Bombardier, Wils managed transactions for the Aerospace and Transportation divisions in the Americas, Central and Eastern Europe. Prior to this, Wils was an Investment Director at Capitech where he led investments in Cleantech companies. CapiTech is the venture capital subsidiary of Hydro-Quebec and provides equity capital to emerging companies whose technological products and services are related to the energy field. Wils served on the boards of Distech controls, Domosys Corporation, CTP hydrogen, Hera storage systems, Avestor, TM4, ECI, Enerwise, Comaintel, Intellon and others. Before his work in the investment industry, Wils worked for the business development group of 3M. During his time with 3M he was successful in growing the industrial business for the Quebec market. Prior to his Work at 3M, Wils spent 2 years in Vancouver, British Columbia as a business development specialist in the Pulp and Paper industry. Wils also spent 1 year in Aix-En-Provence,France as a semi-professional football player for the Argonauts of Aix-En-Provence. Wils has a bachelor degree in Chemical Engineering from Ecole Polytechnique de Montreal and a masters degree in finance from the Universite du Quebec a Montreal. Wils also completed a graduate diploma in management from McGill University in Montreal. Lew Turnquist has 20 years of operational and transactional experience in telecommunications and technology companies: public and private, mature and early-stage, high-growth and turnaround challenges. Lew's career has spanned a variety of disciplines, including marketing, product management and business development and he has built an active consulting practice focusing on the financing of early-stage companies. He was most recently CEO of VX Technologies Inc., a 3D measurement product company where he successfully implemented a turnaround strategy focusing on new and more profitable markets. Prior to VX, Lew held executive positions at several early-stage companies including President of J Commerce Inc., a retail point-of-sale software company; EVP & COO of wireless location equipment vendor Cell-Loc Inc. and CEO of its wholly-owned wireless location services subsidiary TimesThree Inc.; and was a founding team member, Director of Marketing & AVP of Corporate Communications at Saraide Inc, a joint venture of Nortel, Microcell, Omnipoint, Ericsson and GSM Capital, and the world's first wireless Internet service company. His early career was spent with AGT Cellular (now TELUS Mobility), Nortel, and New North Media, a Nortel/NBTel/Bell Canada joint venture delivering interactive services before the rise of the Internet. Lew has been a director and board member of several early-stage ventures including Infowave Software, Inc., a pioneer of the wireless enterprise applications. He currently sits on the board of directors of Calgary Economic Development and is a part-time business instructor. He holds an MBA from the Richard Ivey School of Business at the University of Western Ontario, and a BSc from the University of King's College. Claude Vachet has 19 years of operational, venture capital and transactional experience. Claude has served on the boards of several high technologies companies and has worked with companies in seed, start-up and expansion stages, in turnaround situations and completed an extensive number of exits through strategic sales, IPO, MBO and secondary transactions. Prior to joining Kirchner Private Capital Group, Claude was a Managing Partner at Multiple Capital where he managed a portfolio of venture capital investments for Coller Capital. Claude was part of the management team who realized the largest Canadian secondary acquisition of a Venture Capital fund, the Innovatech Montreal privatization transaction for a total consideration of $200M. The Innovatech portfolio was an early stage venture fund composed of 108 Life Science, IT&C and Advanced Tech portfolio companies and had made investments as a Limited Partner in 12 funds. Previously, Claude was Vice-President of the IT and Communications Portfolio at Innovatech where he had the responsibility to manage a team of investment professionals and a portfolio of 42 early stage companies. Before joining Innvatech, Claude founded a firm providing services to small and medium businesses helping them source funding. Claude started his career in the clean tech industry at Degramont where he worked as an application engineer. Claude holds an MBA from HEC Montreal and a Chemical Engineering Degree from Ecole Polytechnique de Montreal. AdministrationCathy Forsyth has 12 years of operating experience in the technology and health care industries. Her background includes contract coordination, human resources, and database administration. She is actively involved in research at Kirchner and Company including the preparation of materials for buy and sell side M&A engagements, research and development of target lists, and fundamental research for specific markets and industry sectors. Cathy has a Bachelor's degree in Information Technology. Blair Kirchner has six years operating experience in marketing and finance. His background includes research and analysis in financial services and front-line CRM activities with an IT multi-national. Blair co-ordinates research and analysis in the investment banking group and conducts specialty research engagements in business development and advisory services. |
