Kirchner and Company offers advisory services to boards, investors, and management of small and medium size companies. These advisory services are typically related to helping determine the best path forward for optimizing the value of the company.

In contrast to a consultant, our deep operating experience means we not only develop strategic options to build value but we actually roll up our sleeves and assist the client to execute them. Our execution experience is a critical success factor. Management often is quick to recognize we have been in their shoes and appreciate the view from the trenches. The result is usually a much more candid exchange of information and an immediate chemistry. This typically makes the resulting plan more realistic and therefore more achievable.

We provide a variety of advisory services tailored to the needs of each individual situation.

Strategic Planning

Strategic planning is a process to determine the destination the stakeholders wish to take their company and the tactical plan to get there. We have developed a multi-step strategic planning process that results in realistic actionable plans. It usually encompasses the following:

  • Review of materials, including previous strategic and business plans, financials, sales pipeline, product and service information, and associated business materials
  • Detailed discussion with management to get their perspective(s) on the business, its growth plan, challenges, opportunities and priorities
  • Detailed discussion with the Board and/or investors to get their perspective and understand their objectives
  • Identification and gathering additional data as required to properly understand and address key issues
  • Preparation of a “discussion paper” that reflects the perspectives of the various stakeholders
  • Review with management of the discussion paper and agenda
  • Strategic planning session to:
    • Evaluate the various perspectives and priorities and determine the right strategic objectives and timeframe
      • Construct a strategic plan
      • Construct a tactical plan
      • Identify opportunities and threats
      • Select best strategic option and associated tactical plan
      • Action steps — take the approved tactical plan and detail out the specific actions to implement the chosen strategic option, including:
      • Who will do what by when
      • Where, how much and when company funds will be invested

Advising Investors and Boards

We are engaged by investors or boards as a trusted, independent expert to act as their special advisor in a number of situations. For example, we regularly are asked to evaluate investor options in a proposed transaction or financing; to advise on situations and circumstances concerning portfolio companies; or to show the way through a complex restructuring or recapitalization effort. Helping the board navigate through a minefield of risks, including conflicting fiduciary duties and roles, and to identify the best options for the company (rather than individual stakeholders) is a growing area of our business, particularly in light of increasing scrutiny in the corporate world.

As circumstances evolve our advisory clients can seamlessly access the specialty expertise available within Kirchner Private Capital Group.
